The specific scope, deliverables, timeline, and pricing will be outlined in a separate service agreement provided to each client.

You agree to use our website only for lawful purposes. You must not:
- Use the website in any way that violates applicable laws or regulations
- Transmit unsolicited or unauthorized advertising or promotional material
- Attempt to gain unauthorized access to any part of our website or systems
- Use automated tools to scrape or extract data without written consent

- Ensure you have the legal right to authorize outreach to all contacts in any database you provide
- Comply with all applicable laws including CAN-SPAM, TCPA, and applicable state laws
- Promptly provide materials, access, and approvals needed for us to deliver services
- Pay all fees as outlined in your service agreement
Upperbound.io is not responsible for legal consequences arising from use of a database you did not have legal authorization to use.
6. Results & No Guarantee Disclaimer
Upperbound.io provides services with the genuine intent to generate results for your business. However, we make no guarantee of specific revenue outcomes, lead volume, or other metrics.
Results depend on multiple factors outside our control. Any revenue figures referenced in our marketing materials represent examples only — not promises or projections of your specific results.
7. Payment Terms
Payment terms, fees, and refund policies will be set forth in the service agreement entered into between Upperbound.io and each client. Invoices are payable within the time period stated on the invoice. Refunds are governed solely by the terms of the individual service agreement.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared in the course of the business relationship, including your customer data, business strategies, and any proprietary processes shared by Upperbound.io.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Upperbound.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services.
Our total liability for any claim shall not exceed the total amount paid by you to Upperbound.io in the three (3) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Upperbound.io and its owners from and against any claims, liabilities, damages, losses, and expenses arising out of your use of our services or your violation of these Terms.
11. Governing Law & Disputes
These Terms are governed by the laws of the United States and the state in which Upperbound.io is registered. Disputes shall first be addressed through good-faith negotiation, then submitted to binding arbitration per the American Arbitration Association rules.
12. Modifications to These Terms
We reserve the right to update these Terms at any time. Your continued use of our website or services following changes constitutes acceptance of the revised Terms.
13. SMS / Text Message Communications
Types of Messages You May Receive
By opting in to SMS communications from Upperbound LLC, you may receive the following types of text messages:

- AI Service Updates — updates on your AI employee or campaign performance

How to Unsubscribe from SMS
You may opt out of SMS messages at any time using any of the following methods:
- Reply STOP to any text message you receive from us to unsubscribe immediately
- Reply HELP to any text message for assistance or more information
- Email hello@upperbound.io with your phone number and a request to be removed
After opting out, you will receive one final confirmation message and no further SMS messages will be sent. Opting out of SMS does not affect your access to any other Upperbound.io services.
Message Frequency & Rates
Message frequency varies based on your account activity and preferences. You may receive up to 10 messages per month. Message and data rates may apply. These charges are billed by your mobile carrier and are not the responsibility of Upperbound.io.
Carrier Disclaimer
Mobile carriers are not responsible for delayed or undelivered messages. Upperbound.io is not liable for delays or failures in receiving messages caused by your mobile carrier, network outages, or device issues. Carriers do not guarantee SMS delivery.
Age Requirement
You must be 18 years of age or older to opt in to SMS communications from Upperbound LLC. By opting in, you represent and warrant that you are at least 18 years old and that the mobile number provided belongs to you or that you have express permission to use it for this purpose.
